# Claim authorization

This authorization is given by the customer organization to NERVE PLUS Inc for one identified claim.

**What is authorized.** NERVE PLUS Inc may contact the named supplier regarding this specific claim, and may present the supporting evidence produced from the records this organization supplied.

**What is not authorized.** No other supplier, no other claim, no settlement or write-off on the organization's behalf, and no custody of recovered funds. Refunds and credits are paid to the organization directly.

**Fee.** 12% of eligible verified realized benefit for this claim, as defined in the recovery engagement terms.

**Revocation.** This authorization may be withdrawn in writing at any time by emailing contact@nerveplusinc.com.

# Rapid AP Exposure Audit — diagnostic terms

**Seller.** NERVE PLUS Inc, contact contact@nerveplusinc.com. **Customer.** The organization whose workspace purchases the audit.

**What you buy.** A supported review of the accounts-payable records you upload, delivered as an evidence workbook and an executive PDF, with the methodology, coverage and limitations stated. The fee pays for the review and its evidence. It is not a guarantee that recoverable money exists.

**Price.** USD 2,750.00, charged once through Square hosted checkout after you review a server-issued quote and accept these terms. All amounts are USD.

**Scope.** One legal entity and USD records. Up to 100,000 financial records over a maximum 24-month period, plus up to 10,000 vendor records. Larger or unsupported scopes require a separate written review before purchase.

**Corrective rerun.** One same-scope corrective rerun is included within 14 calendar days of final report delivery.

**A zero-finding report is a complete deliverable.** If the review finds nothing, the diagnostic has been performed and the fee is earned.

**Diagnostic credit.** A paid, non-refunded diagnostic base fee may offset future recovery fees for the same organization, audit scope and engagement, if recovery is authorized within 30 calendar days of final report delivery. The credit is capped at the USD 2,750.00 base fee, excluding tax, and cannot exceed gross recovery fees. It is not transferable, cannot be applied twice, and is not a cash refund. If the diagnostic is refunded or reversed, unused or used credit is cancelled or adjusted accordingly.

**What this is not.** NERVE PLUS Inc does not take custody of your funds, does not contact your suppliers without your claim-specific written authorization, and makes no guarantee of recovery. An identified discrepancy is not a confirmed overpayment, a confirmed overpayment is not necessarily recoverable, and a potential recovery is not collected cash.

**Your data.** Governed by the data processing notice and the retention policy published alongside these terms.

**Refunds.** Governed by the refund policy published alongside these terms.

**Governing law.** The laws of the State of Delaware, United States, without regard to conflict-of-laws rules.

# AI and Agentic AI Plus — subscription terms

**Seller.** NERVE PLUS Inc, contact contact@nerveplusinc.com. **Subscriber.** The person who pays and the workspace they create or attach.

**What you buy.** AI and Agentic AI Plus for the AP Recovery free scan: AI-assisted review of mapping issues and candidate evidence inside your workspace, subject to the published allowance. The free scan itself remains USD 0.00 and keeps its own record limits.

**Price and billing.** **USD 75.00 per month.** That is the total amount charged; nothing is added at checkout. Billed in advance through Square hosted checkout to the payment method you provide. The first month is charged at checkout. **The subscription renews automatically each month until you cancel.**

**Account creation happens after payment.** After your payment is verified, NERVE PLUS Inc creates an account for the email address you enter at checkout and emails you a secure sign-in link. If an account already exists for that email, the subscription attaches to it after you sign in.

**Cancellation.** You may cancel at any time from Billing in your workspace. Cancellation stops future renewals and Plus remains active through the end of the period you already paid for. Already-paid periods are not refunded except as stated in the refund policy. **NERVE PLUS Inc does not require you to contact anyone to cancel.**

**Failed renewal.** If a renewal charge fails, Plus continues for a short grace period while the payment method is retried. After that, Plus features pause until payment succeeds. Your data is retained per the retention policy.

**Not included.** Plus does not change scan record limits, does not guarantee findings or recoveries, does not authorize supplier contact, and does not replace your review of mappings and evidence.

**Governing law.** The laws of the State of Delaware, United States, without regard to conflict-of-laws rules.

# Data processing notice

**Controller.** NERVE PLUS Inc, contact contact@nerveplusinc.com.

**What we process.** Accounts-payable invoice, payment and credit records and business contact data that you choose to upload, plus the account email address you provide at checkout or sign-up, and security and access logs.

**Why.** To perform the diagnostic and recovery services you request, to operate your account and billing, and to secure the service. We do not sell personal data and we do not use your records to train models for anyone else. **There is no cross-customer training.**

**Optional AI assistance is disabled by default.** Where you enable it, it operates on your workspace's own records for your own engagement.

**Do not upload.** Remove bank and routing numbers, tax identifiers and payroll data before uploading. The service does not need them.

**Payments.** Card details are entered on Square's hosted checkout and are processed by Square. NERVE PLUS Inc does not receive or store your card number.

**Retention and deletion.** Retention classes are shown before upload and are stated in the retention policy. You may request deletion by emailing contact@nerveplusinc.com.

**Sub-processors.** Infrastructure, database, email delivery and payment providers as actually configured for the production service. A current list is available on request.

# Recovery engagement terms

**Seller.** NERVE PLUS Inc, contact contact@nerveplusinc.com.

**What this is.** An evidence-backed recovery workflow for discrepancies identified in your accounts-payable records. No diagnostic purchase is required to begin a contingency-only recovery engagement.

**Fee.** 12% of eligible verified realized benefit. Eligible benefit means a refund actually received by you or a supplier credit actually applied to your account. Candidate exposure, an identified discrepancy, an unused credit and an unverified report are **not** realized recovery and create no fee.

**Authorization.** Each claim requires your claim-specific written authorization. Your team stays in control of supplier contact. NERVE PLUS Inc does not contact a supplier without that authorization and does not take custody of recovered funds.

**Fee ledger.** Recovery fees are tracked in a separate, traceable ledger and invoiced against verified realized benefit only.

**Diagnostic credit.** If you purchased a Rapid AP Exposure Audit, see the diagnostic credit clause in the diagnostic terms.

**No guarantee.** No recovery amount is promised or implied.

**Governing law.** The laws of the State of Delaware, United States, without regard to conflict-of-laws rules.

# Refund policy

**Seller.** NERVE PLUS Inc, contact contact@nerveplusinc.com.

**Rapid AP Exposure Audit (USD 2,750.00, one time).** If the purchased in-scope report cannot be delivered because of a failure on our side, you may choose a full refund of the diagnostic fee or a replacement delivery schedule. A refund or reversal of the diagnostic cancels or adjusts any unused or used diagnostic credit. A zero-finding report is a complete deliverable and is not grounds for a refund, because the fee pays for the supported review and its evidence rather than for a particular outcome.

**AI and Agentic AI Plus (USD 75.00 per month).** Cancel at any time from Billing in your workspace. Cancellation stops future renewals and Plus stays active until the end of the period you already paid for. Monthly periods already paid are not refunded, except that if Plus was unavailable for a substantial part of a paid period because of a failure on our side, contact contact@nerveplusinc.com and we will refund or credit that period.

**Recovery fees.** Charged only on eligible verified realized benefit. If a recovery is later reversed, the corresponding fee is reversed.

**How to request one.** Email contact@nerveplusinc.com from the address on the account. We respond in writing.

**No recovery guarantee.** No refund is owed because an audit or engagement did not find or recover money.

# Retention policy

**Seller.** NERVE PLUS Inc, contact contact@nerveplusinc.com.

- Free-scan originals and derived data: **7 days**, unless the engagement is upgraded.
- Paid raw datasets: **90 days** after engagement closure. An active claim or legal hold preserves the underlying evidence for as long as the claim is open.
- Generated download artifacts: **7 days**, and regenerable while the engagement is open.
- Derived audit records: **180 days** after closure.
- Engagement, claim and fee evidence: retained while the engagement is open and for the period required to support the fee record.
- Security and access logs: **90 days**.

Deletion requests: email contact@nerveplusinc.com from the address on the account.

This states operational retention defaults for this service. It is not a statutory-retention opinion for your own records.
